Terms of Sale
1. Who we are
PremierSource Supply LLC ("PremierSource", "we") is a Wyoming limited liability company. We are a supplier, not a manufacturer: we source products through authorized distributors and manufacturers in the United States and arrange for them to be shipped directly to you.
2. Quotes
Quotes are valid for 14 calendar days from the date issued unless the quote says otherwise. Prices are in US dollars. Freight to the ship-to address stated on the quote is included unless a line is marked "freight extra". Lead times are stated per line and are estimates given in good faith from our suppliers' stock positions at the time of quoting.
3. Orders and payment

An order is placed with our supplier when the deposit clears. Title passes to you on delivery; risk of loss passes on delivery to your ship-to address.
4. Shipping
Orders ship from our US supplier partners' facilities by ground carrier or freight, direct to your ship-to address. We ship to all 50 US states; US territories and APO/FPO addresses are quoted case by case. Tracking is emailed when the order ships. Delivery dates are estimates, not guarantees.
5. Backorders, substitutions and cancellations
If a line becomes unavailable or its lead time changes after you order, we will tell you promptly. You may then choose to wait, accept a substitute we propose at the same or lower price, or cancel that line for a full refund of the amount paid for it. Orders may be cancelled without charge before we place them with the supplier; after that, cancellation is subject to the supplier's terms, which we will disclose before accepting the cancellation.
6. Damage, shortages and returns
Inspect deliveries on receipt and report visible damage or shortages to us within 5 business days, with photos, so we can file the carrier or supplier claim on your behalf. Items that are defective or not as quoted are replaced or refunded. Returns of correct, undamaged goods are accepted only where the supplier accepts them and may carry the supplier's restocking fee, which we will state before you return anything. Special-order and hard-to-find items sourced specifically for you are not returnable unless defective.
7. Our guarantee
If we cannot ship an item as quoted, you receive a full refund of the amount paid for that item within 5 business days of our notice. Our total liability for any order is limited to the amount you paid for it; we are not liable for indirect or consequential loss.
8. Taxes and documents
Sales tax is charged where we are required to collect it. Tax-exempt and resale customers should send their exemption or resale certificate with their first order. A W-9 is provided at vendor registration; our Wyoming registration documents are available on request.
9. Governing law
These terms are governed by the laws of the State of Wyoming, USA. Any dispute that cannot be settled between us will be brought in the state or federal courts located in Wyoming.
